Real Estate
From initial negotiations and due diligence through closing, my real estate services include:
- Property/Project acquisition, including letters of intent, contract negotiation and drafting definitive agreements.
- Commercial leasing including office buildings, shopping centers, industrial, mixed use, and multi-families.
- Sale and lease-leaseback transactions with industrial development agencies.
- Real property tax issues, including reduction of tax assessments, and PILOT agreements.
- Title and survey coordination to ensure the project has a clean, insurable path to development.
- Navigate complex property rights such as water and easement issue
Renewable Energy
Renewable energy development and transactions are often complex and require a cross-disciplinary set of skills. I advise renewable energy clients on all aspects of acquisition, development, permitting, construction, operation and valuation of projects and assets. My services include:
- Draft and negotiate key project contracts, including site control agreements, MIPAs, PPAs, utility interconnection agreements, incentive agreements, project off-take agreements, O&M agreements, EPC agreements, decommissioning agreements, etc.
- Assist with obtaining, diligencing and complying with local, state and federal land use laws and environmental permits, Phase I and II ESAs, and related issues.
- Conduct interconnection analyses and navigate procedures of Independent System Operators (ISOs) and Regional Transmission Organizations (RTOs), as well as negotiate interconnection agreements with local distribution utilities.
- Guide clients on compliance with state and federal laws such as prevailing wage guidelines and incentive programs.
- Engage and interact with governmental entities on policy development, regulatory and legislative matters.
Permitting, Zoning and Land Use
Whether you’re seeking to complete new construction, or expand or modify an existing commercial use or industrial operation, I navigate municipal zoning codes and land use regulations to secure approvals for project sponsors. These services include:
- Evaluate applicable zoning requirements and create an expedited development strategy.
- Prepare applicable applications for site plans, special use permits, variances, and subdivisions.
- Present and represent applicants before local boards.
- Draft local legislation to establish new uses or zoning districts.
- Apply novel land use principles to various projects to obtain zoning exemptions or defend property rights.
- Draft and negotiate municipal land use contracts such as developer agreements, community benefit agreements, and road use maintenance agreements that are critical to securing approvals and moving projects forward.
Environmental
- Advise clients on the environmental review process, including preparation of defensible negative declarations, environmental impact statements, and related documentation.
- Assist clients in obtaining environmental permits and approvals from federal, state and local agencies including wetland permits, SPDES permits, takings permits, air permits, stormwater permits, etc.
- Assist companies in complying with state and federal environmental laws including air, water, and underground storage tank regulations.
- Represent clients in Consent Order negotiations, including developing cleanup standards and requirements, minimizing penalties and developing productive resolution of disputes.
- Manage remediation of inactive hazardous waste, RCRA or other contaminated properties pursuant to Consent Orders or other governmental directive.

Construction Contracts
Prepare, review, and negotiate a full range of construction contracts and subcontracts including AIA and ConsensusDocs, design build agreements and public procurement contracts.
Business Formations and Acquisitions
Establish legal entities tailored to each project’s structure and goals, including LLCs, corporations, and partnerships. I also facilitate the acquisition of existing businesses or development entities when part of a project strategy.
What I Don’t Do
My practice does not include Family Law, Criminal Law, or General Litigation. However, I work closely with a trusted network of attorneys in these areas and am always happy to provide a referral tailored to your needs.
