- Led legal support in the closing of over 100 megawatts AC of commercial solar and battery storage projects, including drafting and negotiating site control agreements, purchase and sale agreements, and project development documents.
- Conducted legal due diligence for acquisitions of commercial and industrial-scale solar generation projects, identifying and mitigating potential liabilities to support successful integration.
- Represented multiple solar developers to obtain land use and zoning approvals, real property tax mitigation, and economic development incentives in connection with dozens of commercial-scale solar projects.
- Drafted and negotiated various commercial agreements including power purchase agreements, subscription agreements, membership interest purchase agreements, master supply and service agreements, EPC contracts, and vendor contracts.
- Represented numerous renewable energy developers in obtaining financial assistance from industrial development agencies or real property tax exemption through the RPTL 487 process.
- Advised clients on regulatory compliance, risk management, and corporate governance, while working closely with internal stakeholders to align business goals with legal requirements.
- Represented developers, private property owners, and local agencies in connection with evaluating the impacts of construction projects under SEQRA, including developing mitigation measures and project alternatives to avoid or minimize impacts on resources.
- Served as local NYS counsel to a national financial institution in connection with due diligence review of multiple solar projects in New York State including assessing compliance with federal, state, and local laws regarding regulatory, permitting, environmental, interconnection, and real estate issues to ensure that the facilities are constructed and operating in accordance with applicable approvals, permits, and law.
- Represented a global leader in semiconductor manufacturing to secure financial assistance from New York State and the Oneida County Industrial Development Agency to construct and operate a world class 200mm Silicon Carbide fabrication facility in Marcy, New York.
- Acted as local counsel for a leading North American developer of solar and energy storage related to development of facilities within the Adirondack Park Agency’s (APA) jurisdiction and assisting with permitting of such facilities within the APA.
- Represented a private higher education institution in Syracuse, New York, in evaluating property impacts and uses owned by the institution as the City of Syracuse underwent a city-wide rezone.
- Assisted an international religious organization with due diligence prior to acquiring 100-plus acres of land in the mid-Hudson Valley area.
- Acted as co-counsel for the NY Independent System Operator in connection with obtaining land use and environmental approvals for the construction of the power control center (PCC) for New York State.
